All content provided by CuePop, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of CuePop or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

4.3 Use of Our Platform

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our platform for its intended purposes, subject to these Terms.

5. Third-Party Services and Links

Our platform may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third-party websites or services. You access and use such websites or services at your own risk.

You may connect your CuePop account with third-party services. By doing so, you acknowledge that you are bound by the terms and conditions of those services.

6. Payments and Subscriptions

6.1 Fees

You agree to pay all fees associated with your use of our premium services. All fees are in the currency specified and are exclusive of any applicable taxes.

6.2 Subscription Terms

For subscription-based services, your subscription will automatically renew for successive periods equal to your initial subscription period unless you cancel before the renewal date.

6.3 Refunds

Payments are generally non-refundable unless otherwise stated at the time of purchase or required by applicable law.

8. Disclaimer of Warranties

CuePop IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT OUR PLATFORM WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CuePop, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING OUR PLATFORM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless CuePop, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to: (a) your use of our platform; (b) any content you submit, post, or transmit through our platform; (c) your violation of these Terms; (d) your violation of any rights of another person or entity; or (e) your violation of any applicable laws or regulations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CuePop is located, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions.

13. Entire Agreement

These Terms constitute the entire agreement between you and CuePop regarding our platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
